1. Acceptance of Terms

Welcome to HeyThallo, an Instagram automation platform. By accessing or using our services, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please do not use our services.

2. Description of Service

HeyThallo provides an Instagram automation platform. Our services include, but are not limited to, automated responses, content scheduling, link dispatching, flow builders, and AI-assisted engagement tools.

3. User Accounts

• 3.1. You must create an account to use our services. You are responsible for maintaining the confidentiality of your account credentials.
• 3.2. You must provide accurate and complete information when creating your account.
• 3.3. You are solely responsible for all activities that occur under your account.

4. Payment and Subscription

• 4.1. We use Stripe to process payments. By providing payment details, you agree to pay all recurring charges at the rate specified for your subscription.
• 4.2. Subscriptions automatically renew unless cancelled prior to your renewal billing cycle.
• 4.3. We do not offer refunds. All sales and subscription renewals are final.
• 4.4. All fees are exclusive of applicable sales taxes or value-added taxes (VAT).

5. User Content and Conduct

• 5.1. You retain ownership of content created or configured through our platform.
• 5.2. You grant HeyThallo a worldwide, royalty-free license to transmit, store, and process your content strictly for providing the service.
• 5.3. Prohibited uses include transmitting abusive/obscene material, violating Meta developer policies, engaging in NSFW interactions, or building competing AI/automation platforms.
• 5.4. HeyThallo reserves the right to suspend or terminate accounts that breach acceptable conduct policies.

6. AI-Generated Content & Model Training

• 6.1. Interaction patterns may be utilized in anonymized form to tune platform intent recognition.
• 6.2. AI outputs must be reviewed and approved by account owners before broadcasting to end-users.
• 6.3. HeyThallo disclaims liability for inaccuracies in unverified automated AI replies.

7. Data Storage & Security

Messages are processed through secure encrypted Cloudflare worker nodes. While we maintain redundant backup procedures, users are responsible for maintaining backups of their own automation templates and customer data export files.

8. Intellectual Property Rights

HeyThallo and its licensors retain all title, software rights, patents, and trademarks. Reverse engineering, decompiling, or attempting to discover underlying source code is strictly prohibited.

9. Disclaimer of Warranties

The services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.

10. Limitation of Liability

To the maximum extent permitted by applicable law, HeyThallo's total aggregate liability for all damages shall not exceed the amount paid by you in the preceding twelve (12) months.

11. Indemnification

You agree to indemnify and hold harmless HeyThallo and its officers from any claims, losses, or legal expenses arising from your use of the service or breach of these Terms.

12. Modifications to Terms

We reserve the right to update these Terms at any time. Continued use of the platform following published changes constitutes binding acceptance.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Exclusive jurisdiction lies in federal or state courts in Wilmington, Delaware.

14. Dispute Resolution & Binding Arbitration

Disputes shall be settled through binding commercial arbitration in Delaware under JAMS rules. Class action proceedings are explicitly waived by both parties.

15. Class Action Waiver

YOU AND HEYTHALLO AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS PROCEEDING.
